Drafting of all types of commercial agreements.

Negotiation with other parties on commercial/ legal terms.

Compliances under Company Law.

Responsible for Secretarial, legal & compliance related matters of the Company.

Organizing, preparing agendas for, and taking minutes of board meetings and general meetings.

Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant Company stakeholders.

Compliance with FEMA & RBI Guidelines.

Maintain books, registers, records etc. as per the applicable laws and filing of returns etc. with MCA, RBI, DPE, including the security of:

Company seal
-
Certificate of Incorporation
-
Certificate(s) on change of name
-
Memorandum and Articles of Association
-
Director’s service contracts
-
Share certificates and stock transfer forms
-
Other documents of title
-
Organizing and participating in various meetings with internal and external stakeholders and preparation of minutes and ensuring that adequate actions are taken against the decisions.

Undertake such other duties and tasks as may lie within the scope of this post to ensure the effective delivery and development of the service.

Supervising and managing sub-ordinate team.

Communicating, Liasioning and representing the company with various state and central government departments/ministries to avail timely approvals of matters concerned with the Company.

Other works as may be assigned by the management from time to time.
Minimum Requirements:
Nationality: Indian
Age: Maximum age should be 34 years as on the date of the advertisement. The candidate must be in good health. Candidates who have experience in SPVs of DMIC have no age bar.
Qualification: (Essential): Should be a graduate from a recognized University. An associate/ Fellow Membership of Institute of Company Secretaries of India (ICSI).
Preference will be given to those who have completed the 15 (fifteen) months training under any Company/ Practicing Company secretary.
Desirable: LLB/ CA/ ICWA/ MBA (Finance) shall be an added advantage.
Experience:

Minimum 05 (Five) years of post-qualification experience (as on date of advertisement) in dealing with corporate law. Corporate governance, Contract law, Government interfacing and its related areas as on date of advertisement.
Knowledge and Skills:

Must possess strong domain knowledge and understanding of Corporate Laws, Corporate Governance, contract laws, registration, stamping, FEMA etc.

Drafting of various agreements and contracts of the Company.

Skills in organizing resources and establishing priorities.

Analytical reasoning and decision-making ability.

Ability to foster collaborative work environment in a multi-cultural and multi-ethnic environment.

Strong interpersonal skills and the ability to work effectively with wide range of constituents in a diverse community.

Ability to communicate effectively, both in Hindi and English orally and in writing.
Application and Selection Process: The selection shall be done through Interview. The application shall be checked for completeness with respect to the eligibility criteria. The candidate shall be shortlisted and called for interview only if he fulfills the requisite eligibility criteria.
The appointment shall be for one year on a contractual basis.
Job Location: Position in currently based in Greater Noida but may require travel to other places.
Salary: As per 7th pay scale applicable in the State of Uttar Pradesh on Level 10). As per current applicable DA rate, the annual CTC (Cost to Company) will be Rs. 12.45 lakh per annum (approx.).
